We operate this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services").

These terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights.

By visiting, interacting with or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.

Nothing in these Terms limits or excludes any rights you have as a consumer under Spanish law, European Union law, or — where you are resident in the United Kingdom — under United Kingdom consumer law.

SECTION 1 — ACCESS AND ACCOUNT

By agreeing to these Terms of Service, you represent that you are at least 18 years of age, or the age of majority in your country of residence.

To use the Services, including browsing our online store or purchasing any of the products we offer, you may be asked to provide certain information, such as your email address, billing, payment and shipping information. You represent and warrant that all information you provide is correct, current and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign or license your account to any other person.

SECTION 2 — OUR PRODUCTS

We have made every effort to provide an accurate representation of our products in our online store. However, colours and product appearance may differ from how they appear on your screen due to the type of device you use and your device settings.

Our artworks and prints are produced on demand and finished to the size, material and framing options selected by you at the time of ordering.

All product descriptions are subject to change at any time at our discretion. We reserve the right to discontinue any product at any time and to limit the quantities of any product we offer to any person, geographic region or jurisdiction.

Nothing in this section affects your statutory rights in relation to products that are faulty, damaged in transit, or not as described.

SECTION 3 — ORDERS

When you place an order, you are making an offer to purchase. We reserve the right to accept or decline your order at our discretion. Your order is not accepted until we confirm acceptance. We must receive and process your payment before your order is accepted. If we do not accept, change or cancel an order, we will attempt to notify you using the email address, billing address and/or phone number provided at the time the order was placed.

You represent and warrant that your purchases are for your own personal or household use and not for commercial resale, commercial display, commercial rental or export, unless we have agreed to such commercial use in a separate written distribution, licensing or wholesale agreement signed by us.

Right of withdrawal (EU and Spain)

If you are a consumer resident in the European Union, you normally have the right to withdraw from a distance purchase within 14 calendar days from the day on which you, or a third party indicated by you, take physical possession of the goods, without giving any reason. To exercise this right, you may inform us of your decision by an unequivocal statement sent to info@heiartgallery.com.

Important exception. In accordance with Article 103.c of Spanish Royal Legislative Decree 1/2007 (General Law for the Defence of Consumers and Users), and with Article 16.c of Directive 2011/83/EU, the right of withdrawal does not apply to the supply of goods made to the consumer's specifications or clearly personalised.

Our artworks and prints are produced individually to order, in the size, material and finish selected by you at checkout. They are therefore made to your specifications, and the right of withdrawal does not apply to them.

This exception does not affect your rights where a product arrives faulty, damaged, or not as described. In those cases, please contact us at info@heiartgallery.com and we will arrange a replacement or a refund in accordance with applicable law.

Right to cancel (United Kingdom)

If you are a consumer resident in the United Kingdom, equivalent rights and the equivalent exception for personalised or made-to-measure goods apply under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Your purchases are otherwise subject to return or exchange solely in accordance with our Refund Policy.

SECTION 4 — PRICES, TAXES AND BILLING

Prices, discounts and promotions are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email.

Prices displayed to consumers in Spain and in the European Union include VAT at the applicable rate. Shipping costs are shown separately during checkout before you complete your order.

For orders shipped outside the European Union, including to the United Kingdom, prices are shown exclusive of VAT and of any import duties. Where the value of your order exceeds the applicable import threshold in the destination country, any import VAT, customs duties and carrier handling charges are payable by you to the relevant authority or carrier on delivery. We recommend that you check the rules applicable in your country before ordering.

We may from time to time offer promotions that are governed by terms separate from these Terms. If there is a conflict between the terms of a promotion and these Terms, the promotion terms will govern.

You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You agree to promptly update your account and other information, including your email address and payment card details, so that we can complete your transactions and contact you as needed.

You represent and warrant that the payment information you provide is true, correct and complete, that you are duly authorised to use the payment method for the purchase, and that you will pay all charges incurred at the posted prices, including shipping and applicable taxes.

SECTION 5 — SHIPPING AND DELIVERY

All delivery times are estimates and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our reasonable control.

Where you are a consumer, risk of loss or damage to the goods passes to you when you, or a third party indicated by you, take physical possession of the goods. If your order arrives damaged, please contact us at info@heiartgallery.com with photographs of the packaging and the item, and we will arrange a replacement or refund.

SECTION 6 — INTELLECTUAL PROPERTY

Our Services, including all trademarks, brands, text, displays, images, graphics, product reviews, video and audio, and the design, selection and arrangement thereof, are owned by NTE 11.22, S.L. and are protected by Spanish, European Union and international copyright, trademark and other intellectual property laws.

These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store or transmit any material from the Services without our prior written consent. Except as expressly provided herein, nothing in these Terms grants any licence or other rights under any patent, trademark, copyright or other intellectual property of NTE 11.22, S.L. or any third party. All rights not expressly granted are reserved.

The purchase of a print or any other product from us does not transfer to you any copyright or other intellectual property right in the underlying artwork, or in any related images, product photography or designs. All such rights remain owned by NTE 11.22, S.L. and/or the relevant artist. You may display the physical product you have purchased in your home, office or similar personal space, but you may not reproduce, scan, photograph, print, license, publish, distribute or create new products or derivatives based on the artwork or any of our images without our prior written consent.

HEIART Gallery names, logos, product names, designs, signatures and slogans are trademarks of NTE 11.22, S.L. You must not use such trademarks, names, signatures or branding, or any confusingly similar marks, in connection with any product, service, store, gallery or marketing activity without our prior written permission, nor may you suggest or imply that you are affiliated with, sponsored by, or officially authorised to represent us unless we have agreed this with you in writing.

SECTION 7 — OPTIONAL TOOLS

You may be provided with access to third-party tools as part of the Services, which we neither monitor nor control.

You acknowledge and agree that we provide access to such tools "as is" and "as available", without warranties, representations or conditions of any kind and without endorsement. We shall have no liability arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the site is at your own risk and discretion, and you should ensure that you are familiar with and approve of the terms on which those tools are provided by the relevant third-party provider.

We may also offer new features through the Services in the future. Such new features shall also be deemed part of the Services and subject to these Terms.

SECTION 8 — THIRD-PARTY LINKS

The Services may contain materials and hyperlinks to websites provided or operated by third parties. We are not responsible for examining or evaluating the content or accuracy of any third-party materials or websites you choose to access. If you decide to leave the Services to access these materials or third-party sites, you do so at your own risk.

We are not liable for any harm or damages related to your access of any third-party website, or your purchase or use of any products, services, resources or content on any third-party website. Please review the third party's policies and practices carefully before you engage in any transaction with them. Complaints, claims or questions regarding third-party products and services should be directed to the third party.

SECTION 9 — RELATIONSHIP WITH SHOPIFY

Our store is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with NTE 11.22, S.L. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sale between you and us, including any injury, damage or loss resulting from purchased products. You expressly release Shopify and its affiliates from all claims, damages and liabilities arising from or related to your purchases and transactions with us.

SECTION 10 — PRIVACY

All personal data we collect through the Services is subject to our Privacy Policy, and certain personal data may also be subject to Shopify's privacy policy. By using the Services, you acknowledge that you have read these policies.

Personal data is processed in accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018 (LOPDGDD), and, where applicable to United Kingdom residents, the UK GDPR and the Data Protection Act 2018. The data controller is NTE 11.22, S.L.

Because the Services are hosted by Shopify, Shopify collects and processes personal data about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and with third parties that may be located in countries other than the one where you reside. Please review our Privacy Policy for further details.

SECTION 11 — FEEDBACK

If you submit, upload, post, email or otherwise transmit any ideas, suggestions, feedback, reviews, proposals or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose, including commercial use.

You represent and warrant that you own or have all necessary rights to the Feedback, that you have disclosed any compensation or incentive received in connection with it, and that it complies with these Terms. We are under no obligation to keep Feedback confidential, to pay compensation for it, or to respond to it.

We may, but have no obligation to, monitor, edit or remove Feedback that we determine to be unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable, or that infringes any party's intellectual property or these Terms.

You agree that your Feedback will not violate any right of any third party, including copyright, trademark, privacy or personality rights, and will not contain unlawful, abusive or obscene content, or any virus or malware. You may not use a false email address, impersonate another person, or otherwise mislead us or third parties as to the origin of any Feedback. You are solely responsible for any Feedback you submit.

SECTION 12 — ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information in the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders where information is inaccurate, at any time and without prior notice, including after you have submitted your order.

Where an order is cancelled for this reason after payment has been taken, we will refund you in full.

SECTION 13 — PROHIBITED USES

You may access and use the Services for lawful purposes only. You may not access or use the Services, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any applicable laws or regulations; (c) to infringe our intellectual property rights or those of others; (d) to harass, abuse, insult, harm, defame, intimidate or otherwise harm any person; (e) to transmit false or misleading information; (f) to send or procure the sending of any advertising or promotional material, including junk mail, chain letters or spam; (g) to impersonate or attempt to impersonate any other person or entity; or (h) to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which may harm us, Shopify or users of the Services, or expose them to liability.

In addition, you agree not to: (a) upload or transmit viruses or other malicious code; (b) reproduce, duplicate, copy, sell, resell or exploit any portion of the Services; (c) collect or track the personal data of others; (d) spam, phish, pharm, pretext, spider, crawl or scrape; (e) interfere with or circumvent the security features of the Services or any related website; (f) reproduce, scan, photograph, print, download, copy, sell, license, distribute, publish or otherwise commercially exploit any artwork, print, image, product photograph, description or other content obtained from the Services or from any of our products, except as expressly permitted in these Terms or in a separate written agreement with us; (g) list, advertise or offer for sale, online or offline, any product incorporating our artworks, images, branding, name or signature as part of a business, gallery or shop, unless you have entered into a written wholesale, licensing or distribution agreement with us; or (h) hold yourself out as an authorised dealer, distributor, partner or representative of ours, or suggest that you have an ongoing commercial relationship with us, without our prior written permission.

We reserve the right to suspend, disable or terminate your account at any time if we determine that you have violated any part of these Terms.

SECTION 14 — TERMINATION

We may terminate this agreement or your access to the Services (or any part of it) at any time, and you will remain liable for all amounts due up to and including the date of termination.

The following sections will continue to apply following any termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Governing Law, Privacy, and any other provisions that by their nature should survive termination.

SECTION 15 — DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

The information presented on or through the Services is made available for general information purposes only. We do not warrant the accuracy, completeness or usefulness of this information, and any reliance you place on it is at your own risk.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

If you are a consumer, we are responsible to you for loss or damage that is a foreseeable result of our breach of these Terms or of our failure to act with reasonable care and skill. We are not responsible for any loss or damage that is not foreseeable. Your statutory rights as a consumer, including the legal guarantee of conformity of goods, remain fully applicable and are not affected by these Terms.

If you are a business customer, our total liability arising out of or in connection with any order shall not exceed the amount paid by you for that order, and we shall not be liable for loss of profit, loss of business, business interruption or loss of business opportunity.

SECTION 16 — LEGAL GUARANTEE OF CONFORMITY

Consumers resident in the European Union benefit from a legal guarantee of conformity of three years from delivery, in accordance with Spanish Royal Legislative Decree 1/2007 as amended, and Directive (EU) 2019/771. Consumers resident in the United Kingdom benefit from the equivalent statutory rights under the Consumer Rights Act 2015.

If a product does not conform to the contract, you are entitled to have it brought into conformity by repair or replacement, or to an appropriate reduction in price or termination of the contract, in accordance with applicable law. Please contact us at info@heiartgallery.com.

SECTION 17 — INDEMNIFICATION

You agree to indemnify, defend and hold harmless NTE 11.22, S.L. and its officers, directors, employees and agents from any claim or demand, including reasonable legal fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party. This section does not apply to consumers.

SECTION 18 — SEVERABILITY, WAIVER AND ENTIRE AGREEMENT

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be severed without affecting the validity and enforceability of the remaining provisions.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

These Terms and any policies posted by us on the Services constitute the entire agreement between you and us and govern your use of the Services.

SECTION 19 — ASSIGNMENT

You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, provided this does not reduce your rights as a consumer.

SECTION 20 — GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising out of or in connection with them are governed by Spanish law.

If you are a consumer resident in the European Union, you may bring proceedings in the courts of your country of residence, and you continue to benefit from any mandatory consumer protection provisions of the law of that country. If you are a consumer resident in the United Kingdom, you may bring proceedings in the courts of the United Kingdom.

If you are a business customer, the courts of Málaga, Spain shall have exclusive jurisdiction.

Online dispute resolution

In accordance with Regulation (EU) 524/2013, consumers resident in the European Union may submit any dispute relating to an online purchase to the European Commission's Online Dispute Resolution platform, available at: https://ec.europa.eu/consumers/odr

You may also address any complaint directly to us at info@heiartgallery.com, and we will endeavour to resolve it.

SECTION 21 — CHANGES TO THESE TERMS

We may update these Terms from time to time to reflect changes in our practices or for operational, legal or regulatory reasons. The revised version will be posted on this website with an updated "Last updated" date. Changes will not apply retroactively to orders already placed.
